The terms that govern use of the Simpliphi Technologies website and services.

1. Agreement
These Terms of Service ("Terms") govern your access to and use of the website at simpliphitech.com and any related services and content offered by Simpliphi Technologies LLC ("Simpliphi", "we", "our", or "us"). By accessing or using the website, you agree to be bound by these Terms.
Use of our platform and other subscription services is additionally governed by a written subscription agreement between Simpliphi and the subscribing customer (a "Customer"). If a conflict exists between these Terms and a signed subscription agreement, the signed agreement controls with respect to that Customer.
2. Eligibility
You must be at least 18 years old and, where you act on behalf of an organization, authorized to bind that organization. The services are not directed to children.
3. Permitted use
You may use the website for lawful purposes only. You agree not to:
- use the website in violation of any applicable law or regulation;
- attempt to gain unauthorized access to any part of the website or its underlying systems;
- copy, scrape, or reproduce the website's content beyond ordinary browsing;
- interfere with the security or integrity of the website, or misuse it in any manner that could damage, disable, overburden, or impair it.
4. Accounts
Certain features may require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us promptly of any unauthorized use.
5. Platform services
Our platform is provided to Customers under a separate subscription agreement. This page does not constitute an offer to provide those services and does not obligate Simpliphi to enter into any subscription. Access to specific features may be granted, modified, or removed at Simpliphi's discretion or under the terms of the Customer's subscription agreement.
6. Customer obligations
Customers who subscribe to our platform are responsible for:
- obtaining and maintaining any consents required to submit their patients' information, including phone numbers, into the platform;
- using the platform in compliance with all applicable laws, including HIPAA, the Telephone Consumer Protection Act (TCPA), and applicable state privacy laws;
- ensuring that authorized users of the Customer's account keep their credentials confidential;
- accurately representing the sending clinic in patient-directed messages sent through the platform.
Additional obligations are set out in each Customer's subscription agreement.
7. Communications and SMS
By subscribing to our services or interacting with us, you consent to receive account, security, transactional, and operational messages from us by email and, if you have provided a mobile number and opted in, by SMS. SMS messages are governed by our SMS & Messaging Policy. Standard message and data rates may apply. You may opt out of SMS at any time by replying STOP to any message.
8. Intellectual property
The website and its content — including text, graphics, logos, marks, and software — are the property of Simpliphi Technologies LLC or its licensors and are protected by intellectual property laws. "Simpliphi", "Simpliphi Technologies", and associated marks are trademarks of Simpliphi Technologies LLC. Nothing on this website grants any license to use those marks without written permission.
9. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimers
THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPLIPHI DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Nothing on this website is intended to be, or should be construed as, medical advice. Our platform is not itself a medical device and does not replace professional clinical judgment.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPLIPHI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE. SIMPLIPHI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Simpliphi, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the website or violation of these Terms.
13. Term and termination
These Terms apply while you use the website. We may suspend or terminate your access at any time and for any reason, with or without notice. Sections that by their nature should survive termination will survive.
14. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Exclusive venue for any dispute lies in the state or federal courts located in Bell County, Texas, and you consent to that venue.
15. Changes
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date at the top. Your continued use of the website after changes take effect constitutes acceptance of the revised Terms.
